1) Who we are

Pen to Petal (“Company,” “we,” “us,” “our”) provides wholesale floral products to verified business customers. Our website and shop (the “Site”) are intended only for business use. By creating an account or placing an order, you agree to these Terms.

2) Eligibility & Accounts (B2B only)

  • Accounts are for verified businesses (e.g., florists, retailers). We may request documentation (e.g., resale certificate, business license) and approve or decline accounts at our discretion.

  • You’re responsible for all activity under your account and for maintaining the confidentiality of your login credentials. Notify us immediately at support@pentopetal.com if you suspect unauthorized use.

3) Orders, Acceptance & Availability

  • Your order is an offer to buy. We may accept or reject any order, in whole or in part, at our discretion (e.g., stock, credit, compliance checks).

  • We will confirm acceptance by order confirmation email. Product availability, lead times, and substitutions (if authorized by you) may vary.

4) Pricing, Taxes & Payment

  • Prices are shown to logged-in, approved customers and may change without notice until an order is accepted.

  • Unless expressly stated otherwise, prices exclude taxes, duties, and shipping. You are responsible for applicable sales/use tax unless a valid tax-exempt certificate is provided and approved.

  • We accept {payment methods}. For card payments, you authorize us (or our processor) to charge your card for the total order amount. Late or failed payments may result in account suspension or order cancellation.

5) Shipping, Risk of Loss & Inspection

  • Shipping terms: {e.g., FOB Shipping Point or Delivered}. Title and risk of loss pass to you upon {carrier pick-up / delivery}.

  • Inspect products upon receipt. Report shortages or damage to support@pentopetal.com within 3 days of delivery. Keep packaging/photos for claims.

6) Returns & Cancellations

  • Products are non-returnable once the package is opened, unless there is a manufacturing/printing defect.

  • If products are received damaged due to shipping, contact support@pentopetal.com within 3 days of delivery with photos and details. We will work with you on a replacement or claim with the carrier.

  • Orders cannot be cancelled once confirmed unless we approve in writing. Fees may apply.

7) Digital Materials & License (marketing assets)

  • With certain products we may provide digital files (e.g., images, copy) (“Assets”). Unless otherwise stated in writing, we grant you a limited, non-exclusive, non-transferable license to use the Assets only to promote and sell the purchased product on your owned channels (website, email, organic social). Paid ads permitted.

  • You may not resell, sublicense, or redistribute the Assets as standalone files, nor use them to promote unrelated products or brands. All rights not expressly granted are reserved by us.

8) Use of the Site

  • You agree not to misuse the Site (e.g., scraping, interfering with security, reverse engineering, or using content without permission).

  • We may suspend or terminate access for suspected fraud, policy violations, or harm to other users.

9) Warranties & Disclaimers

  • EXCEPT AS EXPRESSLY STATED IN WRITING, THE SITE, PRODUCTS, AND ASSETS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND (INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT).

10) Limitation of Liability

  • TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS/REVENUE/GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY.

  • OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE, PRODUCTS, OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE ORDER GIVING RISE TO THE CLAIM.

11) Indemnification

You agree to defend, indemnify, and hold harmless Pen to Petal and its affiliates, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your (a) use of the Site or Assets; (b) breach of these Terms; or (c) violation of any law or third-party rights.

12) Intellectual Property

All Site content, trademarks, logos, and product photography (except customer-supplied content) are our property or licensed to us and protected by law. No rights are granted except as expressly stated.

13) Privacy

Your use of the Site is also governed by our Privacy Policy (linked at checkout). It explains how we collect, use, and safeguard personal information. For questions, contact support@pentopetal.com.

14) Compliance & Resale

You agree to comply with applicable laws/regulations (including labeling, advertising, and tax laws) and with any published resale or MAP policies we may provide.

15) Force Majeure

We are not responsible for delays or failures due to events beyond our reasonable control (e.g., extreme weather, supply chain disruptions, labor issues, carrier delays, acts of God).

16) Changes to Terms

We may update these Terms from time to time. The “Last updated” date will change. Continued use of the Site after changes means you accept the updated Terms.

17) Governing Law & Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules. Exclusive venue for any dispute shall be the state or federal courts located in Pinellas County, Florida. You consent to personal jurisdiction there.

19) Entire Agreement

These Terms (together with order confirmations and any policies referenced at checkout) are the entire agreement between you and us regarding your purchase and use of the Site, and supersede prior or contemporaneous communications.
